Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement between you and SMJ AI LLC, a Delaware limited liability company ("SMJ AI", "we", "us"), the owner and operator of the Printless platform. They cover the Printless and Printless Printer mobile apps, the Business Portal at printer.printless.app, the Printless API, the Go Printless button, our websites and every related service (together, the "Service"). By creating an account, installing an app, calling the API or otherwise using the Service you accept these Terms and our Privacy Policy. If you use the Service on behalf of a business, you confirm that you are authorised to bind that business, and "you" includes it. If you do not agree, do not use the Service.

2. Definitions

  • ·Customer: a person who uses the Printless app to receive, keep and verify prints
  • ·Business: a company or sole trader that issues prints through the Printless Printer apps, the Business Portal, the button or the API
  • ·Print: a digital record issued by a Business to a Customer — a receipt, invoice, queue token, ticket, parking session, booking, work order, invitation, card, note, document or similar
  • ·Card: a print that represents a membership, identity, access or loyalty credential, optionally added to a phone wallet
  • ·Content: text, numbers, images, documents, branding and any other material submitted to the Service
  • ·API: the enterprise programming interface at api.printless.app, its keys, schemas and documentation
  • ·Plan: the free or paid subscription tier attached to a Business account

3. Eligibility

3.1 Customers

You must be at least 16 years old, or the age of digital consent where you live if that is higher, and able to enter into a binding agreement.

3.2 Businesses

Business accounts may only be opened by adults (18 or older) acting for a lawfully operating business, and only by someone with authority to accept these Terms for it.

3.3 Restricted use

You may not use the Service if:

  • ·We have previously closed an account of yours for breaching these Terms
  • ·You are subject to sanctions, or located in a country or territory subject to comprehensive sanctions, under United States or other applicable law
  • ·Your use would break any law that applies to you

4. Accounts and Security

4.1 Registration

  • ·Accounts are identified by a mobile number, verified with a one-time code sent by SMS or WhatsApp, or by a message you send to us from that number
  • ·One account per mobile number; you must control the number you register and keep it current
  • ·The information you give us must be accurate and complete; standard carrier and messaging charges may apply

4.2 Your responsibilities

  • ·Keep your device, sign-in codes, portal sessions and API keys confidential
  • ·Everything done through your account, your team members' access or your API keys is your responsibility until you tell us the account has been compromised
  • ·Tell us promptly at security@printless.app or support@printless.app if you suspect unauthorised access
  • ·Sign out on shared devices

4.3 Suspension

We may suspend or close accounts that break these Terms, engage in fraud or abuse, put other users or the Service at risk, or remain unused for an extended period after notice.

5. The Service

5.1 For Customers

  • ·Receive prints issued to your mobile number, in the app or over WhatsApp
  • ·Keep, search, categorise, export and share your prints and add cards to your phone wallet
  • ·Verify a print by its QR code and see the business that issued it
  • ·Receive notifications when a print arrives or its status changes

5.2 For Businesses

  • ·Issue prints from the Printless Printer apps, the Business Portal, the Go Printless button on your own site, or the API
  • ·Manage queues, catalogue, brand colours, team members, templates and API keys according to your Plan
  • ·Deliver prints in the Printless app and, on eligible Plans, automatically over WhatsApp
  • ·View analytics about the prints you issue

5.3 Availability and changes

  • ·We aim for high availability but do not guarantee uninterrupted or error-free service; planned maintenance is announced where practical
  • ·We may add, change, or withdraw features, Plans and integrations; material reductions to a paid Plan take effect from your next renewal
  • ·Delivery over WhatsApp depends on Meta Platforms and the recipient's own settings and is not guaranteed
  • ·Beta or preview features are provided as-is and may change or end without notice

5.4 App stores

The apps are distributed through the Apple App Store and Google Play. Apple Inc. and Google LLC are not parties to these Terms, are not responsible for the apps or their content, and have no obligation to provide maintenance or support for them.

6. Prints and Records

6.1 Businesses are the issuers

  • ·A print is issued by the Business named on it. That Business is solely responsible for its accuracy, completeness and lawfulness, including any amounts, taxes, terms and validity dates it contains
  • ·Printless does not audit prints and is not a party to the underlying sale, booking, admission or service
  • ·Whether a print satisfies a legal requirement (for example a statutory tax invoice) depends on the law that applies to the Business and its customer; the Business must make sure its prints comply

6.2 Records and immutability

  • ·Once issued, the content of a print cannot be edited by anyone; corrections are made by issuing a new print
  • ·Customers may categorise, hide or archive prints in their own account but a print remains a record of the issuing Business
  • ·When an account is closed we keep the minimum record needed so a print can still be verified and attributed to the business that issued it, as described in the Privacy Policy

6.3 Sending prints to a number

A Business must have a lawful basis to send a print to a mobile number — normally because the person gave the number for that purpose at the time of the transaction. Prints must not be used for unsolicited marketing. The Business is responsible for the consequences of sending a print to the wrong number.

7. Subscriptions and Billing

7.1 Plans

Business accounts start on the Free plan. Paid plans are monthly, auto-renewing subscriptions. Print allowances are counted per calendar month (UTC) across everything the Business issues, including queue tokens and API prints:

  • ·Free — no charge, up to 100 prints a month
  • ·Basic — up to 10,000 prints a month
  • ·Standard — up to 100,000 prints a month, custom print types and analytics
  • ·Professional — up to 500,000 prints a month, automatic WhatsApp delivery and API access
  • ·Business — up to 1,000,000 prints a month, plus PDF document uploads and priority support
  • ·Enterprise — tailored volume, terms and support under a separate written agreement

7.2 Payment and renewal

  • ·Paid plans bought in the apps are billed by Apple or Google under their terms; prices are shown at purchase and may vary by country and currency
  • ·Subscriptions renew automatically each month unless cancelled at least 24 hours before the end of the current period; renewal is charged within 24 hours before that period ends
  • ·You can manage or cancel a subscription in your App Store or Google Play account settings; cancellation takes effect at the end of the paid period and deleting the app does not cancel it
  • ·When a paid plan ends, the account returns to the Free plan and its allowance; prints already issued remain available

7.3 Refunds, taxes and price changes

  • ·Refunds are handled by Apple or Google under their policies; we do not otherwise refund partial months except where the law requires
  • ·Prices may exclude taxes that the store adds at checkout
  • ·We may change prices or what a plan includes; changes are announced at least 30 days in advance and apply from your next renewal, and you may cancel before they take effect
  • ·Allowances are not carried over, and exceeding an allowance pauses issuing until the next month or an upgrade

8. API, Button and Integrations

8.1 Access

  • ·API access is available on the Professional plan and above, using keys you create in the Business Portal; publishable keys power the Go Printless button on your own website
  • ·Keys are confidential credentials; you are responsible for everything sent with them and must rotate a key you believe is exposed
  • ·We may apply rate limits, quotas and fair-use rules and may suspend keys used abusively

8.2 Your obligations as an integrator

  • ·Send only prints you are entitled to issue, to numbers you have a lawful basis to contact
  • ·Keep your integration compatible with the published .printless document schema and API documentation at docs.printless.app; we may release new versions and will announce breaking changes at least 30 days in advance where practical
  • ·Do not use the API to build a competing print-delivery service or to extract other users' data

8.3 Licence

We grant you a limited, revocable, non-exclusive licence to use the API, the button script and our documentation to integrate your own systems with the Service while your account is in good standing.

9. Acceptable Use

You must not, and must not let anyone using your account:

  • ·Break any law or regulation, or infringe anyone's rights
  • ·Issue false, misleading or fraudulent prints, or alter or forge a print or its QR code
  • ·Send unsolicited, bulk or marketing prints, or contact people who have asked you to stop
  • ·Upload malware, probe or overload the Service, or bypass access controls or usage limits
  • ·Scrape, harvest or resell data from the Service, or use another person's account or number
  • ·Reverse-engineer the apps, the button or the API except where the law allows
  • ·Impersonate Printless, SMJ AI or any business or person

10. Content and Intellectual Property

10.1 Ours

The Service, the apps, the .printless format and schema, our software, designs, trademarks and documentation belong to SMJ AI LLC or its licensors. Apart from the limited rights granted in these Terms, nothing gives you any licence to them. Printless and the Printless mark may not be used without our written permission.

10.2 Yours

You keep ownership of the Content you submit. You grant SMJ AI a worldwide, non-exclusive, royalty-free licence to host, process, encrypt, transmit, display and back up that Content so far as needed to run, secure and improve the Service and to deliver prints to their recipients. A Business also allows its name, logo and brand colours to appear on the prints it issues.

10.3 Feedback

Suggestions you send us may be used without restriction or payment.

11. Privacy

Our Privacy Policy explains what we collect and why. A Business that issues prints is an independent controller of its own customer data and must comply with the privacy laws that apply to it; Printless processes that data to deliver and store the prints as described in the Privacy Policy. We do not sell personal data.

12. Third-Party Services

The Service relies on providers we do not control, including Apple, Google, Meta Platforms (WhatsApp), Cloudflare and Amazon Web Services. Their availability and terms affect the Service; for example, WhatsApp delivery is subject to Meta's messaging policies. Links to third-party sites are provided for convenience and we are not responsible for them.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT A PRINT WILL BE DELIVERED OR ACCEPTED BY ANY THIRD PARTY. Nothing in these Terms limits rights that consumer-protection law gives you and that cannot be excluded.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SMJ AI LLC AND ITS OFFICERS, EMPLOYEES AND SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD IS LIMITED TO THE GREATER OF USD 100 AND THE FEES YOU PAID US FOR THE SERVICE IN THAT PERIOD. These limits do not apply to liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud, or wilful misconduct.

15. Indemnity

If you are a Business or an integrator, you will defend and indemnify SMJ AI LLC against claims, losses and reasonable costs arising from the prints you issue, the Content you submit, your use of the API or button, or your breach of these Terms or applicable law.

16. Termination

You may close your account at any time in the app, at printless.app/account, or by contacting us. We may suspend or end your access for breach of these Terms, unlawful activity, risk to the Service or other users, or a legal requirement, and will normally tell you why. When access ends, paid features stop at the end of the current period, and data is handled as described in the Privacy Policy. Sections that by their nature should survive — including 6, 10, 13, 14, 15 and 17 — continue to apply.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, and the state and federal courts located in Delaware have exclusive jurisdiction, except that we may seek injunctive relief anywhere. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live and the right to bring a claim there. Before starting a formal dispute, please write to legal@printless.app so we can try to resolve it within 30 days.

18. Changes to these Terms

We may update these Terms. For material changes we give at least 30 days' notice in the app, on the website or by message to your registered number. Continuing to use the Service after the effective date means you accept the updated Terms; if you do not, stop using the Service and close your account.

19. General

  • ·These Terms and the Privacy Policy are the whole agreement between you and SMJ AI LLC about the Service, unless you have a separate written Enterprise agreement, which prevails where it conflicts
  • ·If any part of these Terms is unenforceable, the rest continues to apply
  • ·You may not assign these Terms; we may assign them to a successor of the Printless business
  • ·Our failure to enforce a right is not a waiver of it
  • ·We are not liable for delays or failures caused by events beyond our reasonable control
  • ·You agree to receive notices, records and communications electronically
  • ·You must comply with export-control and sanctions laws that apply to your use of the Service

20. Apple and Google terms

For the iOS apps, these Terms are the end-user licence agreement between you and SMJ AI LLC; Apple is a third-party beneficiary entitled to enforce them, has no obligation to provide maintenance, support or warranty service, and is not responsible for any claim relating to the apps, including product-liability, consumer-protection or intellectual-property claims. Use of the apps must also comply with the Apple Media Services Terms and, on Android, the Google Play Terms of Service.
